They did it because they believed in their community and the importance of the art in society. They put their vision into action and made our community a better place for it.&lt;br /&gt;&lt;br /&gt;But, alas, there were too few people willing to pull the oars. And like any volunteer community group, there were more talkers then doers. Aim began with a lot of enthusiasm which was exciting to see. But at the end of the day, there were too few hands to carry the torch. &lt;br /&gt;&lt;br /&gt;Do not be discouraged. You who worked so hard, led by example and the world is a better place for your presence. Blessings be to those who live with vision. Aim needs the help of more willing workers.&lt;br /&gt;&lt;br /&gt;On September 1st, Aim will need&lt;br /&gt;a. A Chair&lt;br /&gt;b. Points of Interest to Members</title><content type='html'>1 AIM Financial information is available on email mailouts and can be obtained at monthly meetings.&lt;br /&gt;&lt;br /&gt;2. 5 new members have joined AIM&lt;br /&gt;&lt;br /&gt;3. The AIM store now presents the work of 37 members&lt;br /&gt;&lt;br /&gt;4. A new member information ‘update’ form has been provided &amp; the form will be made  available on an ongoing basis in hard and soft copy format.&lt;br /&gt;-it is the intent to refresh members contact information in our membership directory on a regular basis to ensure AIMs has each members most updated information&lt;br /&gt;-please complete all the cells as applicable &amp; return&lt;br /&gt;&lt;br /&gt;5 Store Management:&lt;br /&gt;(i)Jane has completed a 10 day basic computer coarse and will now commence using the computer to complete communications and bookkeeping reports.&lt;br /&gt;(ii) The store now has a ‘Guest Book’ for clients and visitors to log in and share their comments. The Guest Book may also be used for sharing AIMs calendar events.&lt;br /&gt;(iii) During July and August the store was open for business:&lt;br /&gt;7 days a week and Cruise Nights (except 2 occasions)&lt;br /&gt;&lt;br /&gt;6. A back door beeper has been installed to enhance security&lt;br /&gt;&lt;br /&gt;7. A story policy is under construction and will be presented to the executive&lt;br /&gt;&lt;br /&gt;8. Anyone wishing to make an educational presentation at the store is advised to speak to Jane McCoy.&lt;br /&gt;&lt;br /&gt;9.AIMs is considered a sub campus office for the Loyalist College. If you wish to provide a seminar or education session please contact Patricia.&lt;br /&gt;-please keep in mind, Loyalist College requires at least 6 months pre planning time to schedule sessions/seminars.&lt;br /&gt;&lt;br /&gt;10.Volunteers are needed to staff the store for the remainder of this and next year.&lt;br /&gt;&lt;br /&gt;11.Appreciation expressed to Joanie Cavanaugh, Shirley Wilson, David Jackson, and Jordanna DeHahnd for presenting gifts to be used for AIM fundraising.&lt;br /&gt;&lt;br /&gt;12.Studio Tour will be held November 5, 6, 7, 12, 13, 14&lt;br /&gt;and AIMs store is included in the 2010 fall tour event&lt;br /&gt;&lt;br /&gt;13.The Showcase of Arts is being held November 27-28, 2010&lt;br /&gt;(set up November 26, 2010) at the Marmora Legion.&lt;br /&gt;&lt;br /&gt;14. The Store Booksale continues and book donations are appreciated. Record of Funds Raised can be obtained through the treasurer.&lt;br /&gt;&lt;br /&gt;15. New signs have been purchased for the store&lt;br /&gt;&lt;br /&gt;16.A  new webpage has been registered and is under construction. Appreciation is expressed to Sacred Heart School for distribution of registration forms.&lt;br /&gt;&lt;br /&gt; The Legion is sponsoring funds, the rental hall &amp; Marc is working on B&amp;W poster, colour poster, and dates for sessions e.g. poem, essay, public speaking&lt;br /&gt;Marc is proposing Wednesdays in July and August because this is a very slow day in the Legion Branch.&lt;br /&gt;Marc plans to include BBQ lunch for participants and instructors &amp; he now has new picnic tables.&lt;br /&gt; &lt;br /&gt;Marc now only needs a firm commitment from AIM members. The time for the election of executive members is approaching. Please check the information package which has been mailed out. &lt;br /&gt;&lt;br /&gt;2. The process will take place over the next couple of months. Three signatures are required for the nomination of board members and dates for the unfolding of events.&lt;br /&gt;&lt;br /&gt;Medical Centre Mural&lt;/span&gt;&lt;br /&gt;- headed by Jan Toland. &lt;br /&gt;- painting volunteers sought&lt;br /&gt;&lt;span style="font-weight:bold;"&gt;&lt;br /&gt;Fund Raising Book Sale&lt;/span&gt;&lt;br /&gt;- contributions of good books by members requested. BY-LAWS – FEBRUARY 1, 2010 &lt;br /&gt;&lt;br /&gt;&lt;br /&gt;1. INTRODUCTION &lt;br /&gt;The idea of founding a coalition of local 'Artists In Motion' (AIM) in Marmora, Ontario and surrounding geographical areas has been under discussion since 2008. With the emergence of similar new art groups in Hastings County, the increased public awareness and appreciation of local artisans, the market clearly encourages local contacts and relations among artisans and other people active in the art culture. &lt;br /&gt;This Constitution document is based on elements agreed upon during the January 2010 general meetings, and outlines the Constitution and By-Laws that will serve as a basis for the master and action plans for AIM&lt;br /&gt;&lt;br /&gt;&lt;br /&gt;2. FOUNDING PRINCIPLES &lt;br /&gt;&lt;br /&gt;2.1. Background&lt;br /&gt;On May 1, 2008, a group of artists in Marmora Ontario met for the purpose of forming an art      group. This group became known as 'Artists In Motion', and hereinafter shall be called 'AIM'.&lt;br /&gt;&lt;br /&gt;The founding members are herewith listed and together with such other persons who may become members from time to time are to be subject to any and all By-Laws enacted and   enforced while AIM    remains  together as a group.&lt;br /&gt;&lt;br /&gt;a. Founding Members&lt;br /&gt;&lt;br /&gt;Eilean Tait – Chair &lt;br /&gt;Franziska Windover – Vice-Chair &lt;br /&gt;Christine Dominico – Second Vice-Chair &lt;br /&gt;Gail Taylor – Secretary, &lt;br /&gt;Jane McCoy – Treasurer &lt;br /&gt;                  &lt;br /&gt;b. Vision&lt;br /&gt;AIM was founded on a desire to bring Marmora and the surrounding communities       the excitement, pride, enrichment and opportunities to connect with the abundant    pool of local artistic creators. AIM members are determined to increase economic &lt;br /&gt;development and tourism by putting Marmora on the map by promoting its' artisan's creations.&lt;br /&gt;&lt;br /&gt;2.2. Mission&lt;br /&gt;The mission assigned to AIM is to provide its' members with a hub for local art exchange with      communities, collaboration and partnerships with a view to encouraging any initiative that might improve the    effectiveness of individual members and the realization of their collective goals. &lt;br /&gt;&lt;br /&gt;2.3. Main Objectives&lt;br /&gt; To fulfill its mission AIM plans to:&lt;br /&gt;a.   Initiate, encourage or strengthen any plans for collaboration, exchange or partnership that might improve the performance of each of its members. &lt;br /&gt;b.   Initiate or support any actions that might develop and maintain optimal efficiency among AIM members.&lt;br /&gt;c.   Develop resources and tools useful to all members.&lt;br /&gt;d.   Monitor, measure and document art activity to make it more widely known.&lt;br /&gt;e.   Highlight the benefits of local activity for the performing arts to any authorities who might influence their realization. &lt;br /&gt;f.   Encourage cultural exchanges in the performing arts sector; particularly for   presentations, communities and co-productions.&lt;br /&gt;g.   Initiate or further any activity that might facilitate local commercial exchanges between artists, producers, presenters and writers.&lt;br /&gt;h.   Increase the visibility of AIM and showcase their efforts for clients (presenters, agents,producers), for related bodies (e.g. presenter networks), for governments or for other means of financia support (e.g. foundations).  &lt;br /&gt;&lt;br /&gt; 2.4. Strategies&lt;br /&gt;To fulfill its mission and meet its objectives, AIM may implement strategies such as:&lt;br /&gt;a. assist each other as members of a recognized, established art association by organizing art shows, presentations and study groups&lt;br /&gt;b. enable the association to retain recognized professional artists as instructors for demonstrations and workshops&lt;br /&gt;c. provide local communities with an appreciation of art; from students to the elderly, as well as visitors and tourists, the opportunity to partake in an array of art; representing visual, musical and literary performances&lt;br /&gt;d. maintain a vibrant and highly visible storefront for creative networking, hosting  educational workshops, showcasing and the sale of artisans work&lt;br /&gt;e. generate a closer relationship between artists and the community by promoting    education and coordinating the development of arts and cultural projects and activities to educate and increase the public's appreciation of the arts&lt;br /&gt;f. provide instructional seminars on topics related to visual, performing and literary arts&lt;br /&gt;g. provide the corporate/municipal/private business sectors with an awareness of AIM and the benefits of incorporating art in their marketing plans&lt;br /&gt;h. provide shared resources, equipment and facilities with other community partners &lt;br /&gt;&lt;br /&gt;2.5. Values&lt;br /&gt;Aim will not tolerate any discrimination based on race, ethnic origin, skin color, language, sexual orientation or religion. The values that will guide the decisions and actions of AIM are cohesiveness, consistency,    mutual aid and synergy. &lt;br /&gt;&lt;br /&gt;a. Cohesiveness: The quality of a group that functions without one member's stifling of another, The cohesion of a group is the product of all the forces acting on its members to keep them within the group.&lt;br /&gt;b. Consistency: The stability of a group founded on permanent needs or motives and organized essentially around those goals.&lt;br /&gt;c. Mutual aid: The reciprocal actions of aid and support. &lt;br /&gt;&lt;br /&gt;d. Synergy: The interaction or cooperation of two or more members to produce a combined effect that is greater than the sum of their separate efforts. &lt;br /&gt;&lt;br /&gt;STRUCTURE &lt;br /&gt;&lt;br /&gt;3.1. Legal Structure&lt;br /&gt;The legal structure will be a not-for-profit (NFP) organization instituted in accordance with the Province of Ontario &amp; operates under Ontario Corporation Number #1781296.&lt;br /&gt;&lt;br /&gt;3.2. Designation&lt;br /&gt;The name of the association will be 'Artists In Motion', which could be abbreviated to AIM and was registered December 18, 2008 in the Province of Ontario. The legal address of the not-for-profit-corporation known as Artists In Motion (hereinafter referred to as AIM) is located in the Municipality of Marmora &amp; Lake, in    the Province of Ontario. The head office shall be: 29 Forsyth Street, Box 736, Marmora Ontario K0K 2M0 or at such place therein as the directors may determine.&lt;br /&gt;&lt;br /&gt;3.3. Fiscal Year&lt;br /&gt;Unless otherwise determined by resolution of the Board, the fiscal year for AIM will be the first day of January at 08:00am local time and end the thirty first day of December at 04:00pm local time, as recorded in Marmora Ontario K0K 2M0 Canada. &lt;br /&gt; &lt;br /&gt; 3.4. Membership Categories&lt;br /&gt;The members are integral to the very existence of Aim and will be categorized as    follows: &lt;br /&gt;&lt;br /&gt;a.   Full Members&lt;br /&gt;&lt;br /&gt;Have access to all services for members. &lt;br /&gt;Have the right to speak and to vote in meetings. &lt;br /&gt;Can be elected to the Board. &lt;br /&gt;Can be elected as Chairperson of AIM. &lt;br /&gt;Can host the head office. &lt;br /&gt;Can use the designations 'Artists In Motion' or 'Member of AIM' with the       Board's approval. &lt;br /&gt;&lt;br /&gt;b.   Emerging Members&lt;br /&gt;Have access to all services for members. &lt;br /&gt;Have the right to speak and to vote in meetings. &lt;br /&gt;Can be elected to the Board. &lt;br /&gt;Can use the designation 'Member of AIM' with the Board's approval. &lt;br /&gt;                  &lt;br /&gt;c.   Network Associations&lt;br /&gt;Cannot be elected to the Board. &lt;br /&gt;Only the association executives can attend meetings and have access to        services for members. &lt;br /&gt;Only the association head office can use;  'Member of AIM'. &lt;br /&gt;&lt;br /&gt;3.5.  Board Members&lt;br /&gt;&lt;br /&gt;a.  the governing body of AIM shall be the Executive, hereinafter referred to as the Board.&lt;br /&gt;&lt;br /&gt;b.  The Board will be made up of a minimum of five (5) officers known as: the Chair, the Vice-Chair, the Past Chair, the Secretary and the Treasurer and other persons as determined by the Board.&lt;br /&gt;&lt;br /&gt;c.     &lt;br /&gt;The Board shall:&lt;br /&gt;Meet at least four (4) times per year or more if necessary to conduct the        affairs of the Corporation Strive to ensure the success of the organization by raising money and securing appropriate funding. &lt;br /&gt;Provide special skills. &lt;br /&gt;Act as ambassadors to the community. &lt;br /&gt;Develop the annual budget. &lt;br /&gt;Determine programs and services. &lt;br /&gt;Enhance public relations. &lt;br /&gt;Ensure adherence to legal obligations and maintain code of ethics. &lt;br /&gt;                        &lt;br /&gt;d.     Board members will be elected at an annual meeting for members.&lt;br /&gt;e.     The Board may make a recommendation to the membership to award special re-numeration out of AIM funds, to any Director who performs any special work or service for AIM, outside the work or service required of a Board member.&lt;br /&gt;f.    The Board may temporarily fill a Board vacancy by appointment until the next AIM General Meeting (AGM). At the next AGM the membership will vote to fill the vacancy. &lt;br /&gt;g.   Upon vacancy of the Chairperson, and should the immediate Past Chairperson be unable to serve, the Board shall appoint the Vice Chairperson as an interim acting Chairperson until a new appointment/election has been resolved. &lt;br /&gt; &lt;br /&gt; &lt;br /&gt;3.6.   Chairperson&lt;br /&gt;The Chairperson will be elected by the general assembly at the AGM and during the term of office he/she agrees to perform the following responsibilities invested in this position:&lt;br /&gt;&lt;br /&gt;      a.    Presides at all general and executive meetings.&lt;br /&gt;&lt;br /&gt;      b.    Adhere to agenda by only accepting related discussions.&lt;br /&gt;&lt;br /&gt;      c.    Prioritizes agenda for the membership.&lt;br /&gt;&lt;br /&gt;      d.    Maintains order and keeps the discussion flowing.&lt;br /&gt;&lt;br /&gt;      e.    Starts, maintains order and adjourns meetings.&lt;br /&gt;&lt;br /&gt;      f.    Knows meeting procedures and protocol.&lt;br /&gt;&lt;br /&gt;      g.    Provides due diligence, best practice incentives and decision making for the                             membership.&lt;br /&gt;&lt;br /&gt;      h.    Professionally represents and leads the organization.   &lt;br /&gt;&lt;br /&gt;      i.     Provides delegation of signing authority for fiscal matters and co-signature with the               Treasurer of Board officers as appointed by the Board.&lt;br /&gt;&lt;br /&gt;      j.    The Chairperson may vote only in the case of a tie.&lt;br /&gt;&lt;br /&gt;      k.     Provide continuity and assistance to the new incoming Chairperson.&lt;br /&gt;&lt;br /&gt;      l.   Provide continuity and assistance to the Board as required when called upon as the 'Past Chairperson'. &lt;br /&gt;&lt;br /&gt; 3.7.   Vice-Chairperson&lt;br /&gt;&lt;br /&gt;            The Vice-Chairperson will be elected by the general assembly at the AGM and during       the term of office he/she agrees to perform the following responsibilities invested in this position:&lt;br /&gt;&lt;br /&gt;                  a.    Fulfills the duties and responsibilities of the Chairperson, as required,                      including the vacancy of the Chairperson's position.&lt;br /&gt;&lt;br /&gt;                  b.    Conducts membership drive initiatives.&lt;br /&gt;&lt;br /&gt;                  c.    Provides assistance to the Chairperson as required.&lt;br /&gt;&lt;br /&gt;                  d.    Acts as a communication liaison for the Chairperson.&lt;br /&gt;&lt;br /&gt;                  e.    May co-sign with the Treasurer. &lt;br /&gt; &lt;br /&gt;&lt;br /&gt;&lt;br /&gt;      3.8.   Secretary&lt;br /&gt;&lt;br /&gt;            The Secretary will be elected by the general assemble at the AGM and during the term of office he/she agrees to    perform the following responsibilities invested in the position:&lt;br /&gt;&lt;br /&gt;                  a.    Provide executive support to the Board of Directors.&lt;br /&gt;&lt;br /&gt;                  b.    Prepare meeting notices, agendas and other Board materials.&lt;br /&gt;&lt;br /&gt;                  c.    Produce quality correspondence and meeting minutes.&lt;br /&gt;&lt;br /&gt;                  d.    Accurately maintain, in a safe and orderly manner all business records,                        meeting minutes, correspondence and all official Board documentation               and records.&lt;br /&gt;&lt;br /&gt;                  e.    Accurately record and produce minutes from all Board and membership                      meetings, ensuring the exact wording of each motion and action as;               defeated, carried, or other. &lt;br /&gt;&lt;br /&gt;                  f.    Maintain up-to-date contact information lists; of members, associates and                     other links. &lt;br /&gt; &lt;br /&gt; &lt;br /&gt;3.9.  Treasurer&lt;br /&gt;&lt;br /&gt;            The Treasurer will be elected by the general assembly at the AGM and during the term of      office he/she agrees to perform the following responsibilities invested in this position: &lt;br /&gt;&lt;br /&gt;                  a.    Establishing funding requirements, negotiating and securing short and               long term sources of funding.&lt;br /&gt;&lt;br /&gt;                  b.    Management of existing debt, monitor terms and conditions of credit                      agreements, calculate and report on financial covenants.&lt;br /&gt;&lt;br /&gt;                  c.    Establishing and maintaining strong relationships with banks and other               key financial partners.&lt;br /&gt;&lt;br /&gt;                  d.    Responsible for developing customer financing solutions.&lt;br /&gt;&lt;br /&gt;                  e.    Cash management includes; updating daily, weekly and monthly cash                      projections; working capital management; investment of cash surpluses                            and the servicing and repayment of debt.&lt;br /&gt;&lt;br /&gt;                  f.    Create and update policies and procedures relating to finances, insurances               and Harmonized Sales Tax.&lt;br /&gt;&lt;br /&gt;                  g.    Develop and update financial management reports.&lt;br /&gt;&lt;br /&gt;                  h.    Provide support to the Board in development initiatives, market                opportunities and strategic planning processes.&lt;br /&gt;&lt;br /&gt;                  i.     Receives all membership dues and issues receipts.&lt;br /&gt;&lt;br /&gt;                  j.     Provides monthly and regular reports to the Board, Chairperson and/or if                    requested to a finance committee to review the financial activities of the                                 Corporation.&lt;br /&gt;&lt;br /&gt;                  k.    Disperses funds, issues and co-authorizes cheques with the Chairperson or               Vice-Chairperson.&lt;br /&gt;&lt;br /&gt;                  l.     Manage &amp; co-ordinate the store retail space and provide storefront                       management with the full co-operation of the storefront committee.&lt;br /&gt;&lt;br /&gt;                  m.    Maintain and keep the business seal in a secure location. &lt;br /&gt;&lt;br /&gt;&lt;br /&gt;.10.  Duty of Care for Board Members&lt;br /&gt;&lt;br /&gt;            During the term held as a Board member: &lt;br /&gt;&lt;br /&gt;                  a.     Cannot abandon responsibility.&lt;br /&gt;&lt;br /&gt;                  b.     Have a legal responsibility to protect assets.&lt;br /&gt;&lt;br /&gt;                  c.     Must attend all Board meetings, unless absence is pre-approved by the Chairperson.&lt;br /&gt;&lt;br /&gt;                  d.     Make correct decisions through serious consideration and deliberation with the Board members before            the action is taken. &lt;br /&gt;&lt;br /&gt;                  e.     Ensure Board minutes reflect actions (expected or taken).&lt;br /&gt;&lt;br /&gt;                  f.     Serve without payment.&lt;br /&gt;&lt;br /&gt;                  g.    Shall not without the written approval of the Board:&lt;br /&gt;&lt;br /&gt;Borrow or lend money or enter into any financial commitments. &lt;br /&gt;Purchase or contract to purchase any goods or services. &lt;br /&gt;Sell or contract to sell, any property of AIM other than the type of property (retail goods) bought and sold in the regular course of operating the AIM store. &lt;br /&gt;Borrow or lend AIM collateral or monies. &lt;br /&gt;Enter into any financial commitments on behalf of AIM. &lt;br /&gt;Shall declare any conflict or potential conflict of interest to the Board. &lt;br /&gt;&lt;br /&gt;3.11. Terms of Office for Board Members&lt;br /&gt;&lt;br /&gt;a.    Board members will serve on the Board for a term of two (2) years, with terms being staggered to avoid         electing a completely new Board in any given year.&lt;br /&gt;&lt;br /&gt;b.    Board members whose terms have come to an end may be elected for only one (1) additional term in               the same Board position.&lt;br /&gt;&lt;br /&gt;      3.12. Scope of Obligations for Board Members&lt;br /&gt;&lt;br /&gt;            During the term of office, all Board members are expected to and agree to:&lt;br /&gt;&lt;br /&gt;a.    Be loyal to the organization.&lt;br /&gt;&lt;br /&gt;b.    Act in a manner not exceeding their powers as Board members.&lt;br /&gt;&lt;br /&gt;c.    Not cause the organization to do anything exceeding its' founding principles.&lt;br /&gt;&lt;br /&gt;d.    Must disclose any conflict or potential conflict of interest(s).&lt;br /&gt;&lt;br /&gt;e.    Must be prepared to sit on committees&lt;br /&gt;f.     Must participate in fundraising activities.  &lt;br /&gt;  3.13.  Conditions for Exiting from the Board&lt;br /&gt;&lt;br /&gt;            a.    Without Board approval, he/she fails to attend two Board meetings within one fiscal year.&lt;br /&gt;&lt;br /&gt;            b.    He/She is unable to perform their duties for reasons that are acceptable to the Board.&lt;br /&gt;&lt;br /&gt;            c.    He/She ceases to be a resident of Ontario.&lt;br /&gt;&lt;br /&gt;            d.    A letter of resignation is accepted by the Board. &lt;br /&gt;&lt;br /&gt;            e.    He/She dies.&lt;br /&gt;&lt;br /&gt;      3.14. Business Seal&lt;br /&gt;&lt;br /&gt;            Correspondence from AIM must have the business seal stamped on all documents to       officially recognize the commitment from the Board and its' members. The business seal  will be applied     (stamped) by a Board member at the time and place of the authorizing signature from the Chairperson     which action shall be witnessed by the Board members. The business seal shall be maintained &amp; kept in a     secure location by the Treasurer. &lt;br /&gt; &lt;br /&gt;&lt;br /&gt;&lt;br /&gt;4. OPERATIONS &lt;br /&gt;&lt;br /&gt;&lt;br /&gt;      4.1.  Official Language&lt;br /&gt;&lt;br /&gt;            The official language of AIM is English.&lt;br /&gt;&lt;br /&gt;      4.2.  Head Office&lt;br /&gt;&lt;br /&gt;            For the first three (3) years of AIM's existence and until changed in accordance with the       Founding Act, the head office will be in Canada, at the AIM store in Marmora Ontario. After the initial period of    three (3) years, the head office may be located according to the Board's  determination.&lt;br /&gt;&lt;br /&gt;      4.3.  Membership Fees &amp; Application Form&lt;br /&gt;&lt;br /&gt;Members will pay an annual fee to maintain their membership status. &lt;br /&gt;Fees are only acceptable in the form of a cheque or cash. A post dated cheque is not      acceptable. Please Note: there will be an administrative charge of $25.00 applied to any member whose    cheque is returned as 'insufficient funds'. Replacement membership fee and the administrative charge will,    at this time, be only acceptable in the form of cash. &lt;br /&gt;At the discretion of the Board, full payment will restore all membership benefits.  &lt;br /&gt;Effective January 31, 2010 the annual membership will be based on four (4) classes of      membership: &lt;br /&gt;Individual/artist…………………………………………….$ 30.00 a year &lt;br /&gt;Full time student (under 21 years of age)…………………..$15.00 a year &lt;br /&gt;Associate/business………………………………………….$ 40.00 a year &lt;br /&gt;Family………………………………………………………$ 50.00 a year &lt;br /&gt;Membership shall be open to all persons able to use the services and willing to accept      responsibilities of membership, including but not restricted to the right to vote, hold office and to serve on    committees and who pay the annual fee set forth herein. &lt;br /&gt;All members will be required to pay the current annual membership fees within thirty      (30) days notice of the amount due, or as posted by the Board. &lt;br /&gt;New members joining after November 1st of the current year, shall pay the full membership fee for the    current year &amp; that will in fact give them paid membership for 14 months. &lt;br /&gt;Membership and all related fees shall be non-refundable should a member exit AIM. &lt;br /&gt;The membership application form is available from the Secretary or at the AIM store. &lt;br /&gt;Membership application forms must be signed by the applicant and accompanied by the      appropriate membership fees. &lt;br /&gt;It is the responsibility of each member to notify the Secretary of any changes in your      contact information, such as: change of address, telephone number, e-mail address, etc. &lt;br /&gt;&lt;br /&gt; 4.4. General Assemblies&lt;br /&gt;&lt;br /&gt;AIM must hold at least one (1) AGM per fiscal year and it shall always be held on the first Thursday each/every April. &lt;br /&gt;AIM may also hold special meetings as called for by the Board at any time. &lt;br /&gt;As long as AIM membership remains not less than twenty (20) members, the Board should favor decision- making by the general assembly. &lt;br /&gt;The Board may also form committees with specific mandates, increasing the involvement of the AIM  members. &lt;br /&gt;The Secretary shall cause to be mailed or e-mailed to every member in good standing at  their address as it  appears in the membership list, a notice telling the time and place of any scheduled meeting. &lt;br /&gt; &lt;br /&gt; &lt;br /&gt;&lt;br /&gt;      4.5. Regular Membership Meetings&lt;br /&gt;&lt;br /&gt;Regular membership meetings will be held on the first Thursday of the month, on a quarterly basis. &lt;br /&gt;Meetings will be held at any time/place as posted by the Board, with preference given to the meeting room at the AIM store. &lt;br /&gt;Members may not transact any business without previous notice and Board approval that may contravene the constitution or by-laws and any amendments to the constitution or by-laws. &lt;br /&gt;Voting Rights: Each member (in good standing) attending a meeting shall be entitled to one vote for each applicable agenda item. &lt;br /&gt;Proxy Voting is not allowed by AIM. Proxy means the authority to represent/vote or act for someone else. &lt;br /&gt;Voting Procedure: At each meeting with members present and in good standing, members shall declare their acceptance/rejection of agenda items by a show of hands. A declaration by the Chairperson of the meeting, that a resolution has been carried or not carried shall be announced. The Secretary shall record the resolution in the minutes of the Corporation, shall be proof of the fact without number in favor or against. &lt;br /&gt;Quorum: means the minimum number of members that must be present to validate the proceedings of an assembly. A quorum for the transaction of business at any AGM shall consist of no less than one third (1/3) of the membership present in person. &lt;br /&gt;Order of Business Agenda: As directed by the Chairperson (or alternate) meetings shall be conducted in the following order of business: &lt;br /&gt;Call to order. &lt;br /&gt;Reading &amp; approval of previous meeting minutes. &lt;br /&gt;Business arising from minutes. &lt;br /&gt;Treasurer's report. &lt;br /&gt;Committee(s) report(s). &lt;br /&gt;New/Other business. &lt;br /&gt;Appoint time/date of next meeting. &lt;br /&gt;Adjournment. &lt;br /&gt;&lt;br /&gt;4.6. Board Meetings&lt;br /&gt;&lt;br /&gt;Meeting Schedule &lt;br /&gt;            There will be at least four (4) meetings per fiscal year. The meetings may be held     at any time &amp;/or place but preferably at the AIM store.&lt;br /&gt;&lt;br /&gt;Protocol for Meeting &lt;br /&gt;Meetings may be held in person, by telephone, by video conference or by any other technological means among members. &lt;br /&gt;A meeting may be replaced by a written resolution if it is adopted unanimously. &lt;br /&gt;A quorum is met when a simple majority of Board members are present. &lt;br /&gt;Board members will not receive a salary. &lt;br /&gt;      4.7. Financial Operations&lt;br /&gt;&lt;br /&gt;            a. Head Office&lt;br /&gt;&lt;br /&gt;                  Head Office/Storefront costs will be covered by membership fees, space rentals, &amp; classroom fees.  The     Head Office/Storefront costs will/may include:&lt;br /&gt;&lt;br /&gt;Legal and administration fees. &lt;br /&gt;Communications. &lt;br /&gt;Website hosting and updates. &lt;br /&gt;Stationery. &lt;br /&gt;Meeting costs (conference calls, etc.). &lt;br /&gt;      AIM does not foresee the hiring of staff employees at this time, but certain work may be contracted out.  Expenses to be covered in the first years may include: start-up costs, &lt;br /&gt;&lt;br /&gt;      logo design, store fixtures, signage, website design and development with links to members, etc.&lt;br /&gt;&lt;br /&gt;      A funding grand from Economic Development may also assist in the paying of operating costs as needed  for the Head Office/Storefront.&lt;br /&gt;&lt;br /&gt;            b. Special Projects&lt;br /&gt;&lt;br /&gt;                  Special projects may be financed by; special fees, grants from government agencies or       contributing municipalities. Some examples of special projects are: creating a database;       developing a lobbying plan; developing a training program; or hosting a forum.&lt;br /&gt;&lt;br /&gt;              c. Cost-Sharing Among Members&lt;br /&gt;&lt;br /&gt;                    All AIM members will favor policies of cost reduction and of reciprocity with each other. &lt;br /&gt; &lt;br /&gt; &lt;br /&gt; &lt;br /&gt;&lt;br /&gt;&lt;br /&gt;5. ACTION PLAN FOR 2010 &lt;br /&gt;&lt;br /&gt;&lt;br /&gt;        From now until December 31, 2010, the objectives will be to agree upon a common vision and vocabulary and to    establish priorities among the projects that will excite and be of interest to AIM members&lt;br /&gt;&lt;br /&gt;5.1.    Finalize the constitution of the coalition.&lt;br /&gt;&lt;br /&gt;5.2.    Logo design.&lt;br /&gt;&lt;br /&gt;5.3.    Website planning.&lt;br /&gt;&lt;br /&gt;5.4.    Mural project at Medical Centre in Marmora.&lt;br /&gt;&lt;br /&gt;5.6.    Celebrate Marmora – community festival participation by AIM.&lt;br /&gt;&lt;br /&gt;5.7.    Art &amp; Craft Show in November, 2010.&lt;br /&gt;&lt;br /&gt;5.8.    Studio Tour.&lt;br /&gt;&lt;br /&gt;5.9.    Other fundraisers (not finalized at this time).&lt;br /&gt;&lt;br /&gt;  5.10.  At the first general meeting of each fiscal year, new &amp; existing projects for the current calendar year will be                    discussed &amp; decided upon. &lt;br /&gt;&lt;br /&gt;&lt;br /&gt;6.   STANDING SUB-COMMITTEES&lt;br /&gt;&lt;br /&gt;    6.1.    The Executive may create any sub-committee as deemed necessary to fulfill the aims and objectives of the               organization. Said committees shall report directly to the Executive.&lt;br /&gt;&lt;br /&gt;  6.2.    The committee chair shall appoint the members of the respective committee, who shall be members of AIM,                  and report the member names to the Board and the Secretary.&lt;br /&gt;&lt;br /&gt;6.3.    The action of the committees shall be subject to the authority of the Board. &lt;br /&gt; &lt;br /&gt;&lt;br /&gt;&lt;br /&gt;7.   AUDITOR&lt;br /&gt;&lt;br /&gt;      AIM may appoint an Auditor or an audit committee to audit the accounts of AIM. &lt;br /&gt;&lt;br /&gt;      No Board member of AIM shall be the Auditor. &lt;br /&gt; &lt;br /&gt;&lt;br /&gt;&lt;br /&gt;8.   DISSOLUTION&lt;br /&gt;&lt;br /&gt;      In the event of dissolution of AIM, all liabilities and obligations of AIM shall be paid, satisfied and discharged or    adequate provision made. Any remaining funds that are in the treasury at this time, shall  be given to a non-profit    organization as determined by the majority of the remaining members. &lt;br /&gt;&lt;br /&gt;&lt;br /&gt;9. Her subjects were mostly floral and she sometimes included small animals or birds in the composition. Occasionally &lt;strong&gt;Susanna sketched small scenes, such as her series of water colour washes of the mines at Marmora&lt;/strong&gt;.  &lt;br /&gt;In attendance:  Gail Taylor, Rose Payer, Eilean Tait, Christine Dominico, Shirley Campbell, John Hamley, Winston Seeney, Bill Murphy, Bob Broadbent, Jane McCoy, Jan Toland, Joanie Cavanaugh, Pat McAllister &lt;br /&gt;  &lt;br /&gt;Christine welcomed everyone.  Kudos will appear in newsletter. &lt;br /&gt;Report on Showcase of the Arts by Shirley Campbell.&lt;br /&gt;Shirley’s report will appear in more detail in the December newsletter. &lt;br /&gt;There was a discussion regarding ways of improving this Artist in Motion show. &lt;br /&gt;Action: &lt;br /&gt;Rose moved that Shirley Campbell be appointed the chair of a sub committee that will start planning for next year &lt;br /&gt;Joanie seconded the motion and the motion carried &lt;br /&gt;Shirley consented to be chair of the Showcase of the Arts Committee. &lt;br /&gt;Action:  &lt;br /&gt;John moved that all event committees be encouraged to record what activities they did in preparation for an event so subsequent organizers will have a bank of information to go on. &lt;br /&gt;Shirley seconded the motion and the motion carried &lt;br /&gt;Membership Renewal&lt;br /&gt;Gail reported that only a limited number of memberships had been renewed.  &lt;br /&gt;Action: &lt;br /&gt;She said that she would have a reminder in the newsletter in December and January &lt;br /&gt;Christine and Gail reported on their meeting regarding the AIM web site.  &lt;br /&gt;Christine explained that AIM does own their domain name and website content. &lt;br /&gt;We need to have an FTP writer so that files could be uploaded to the site.  We can request changes from Aubrey who is our technician but we cannot make changes ourselves. &lt;br /&gt;Action:  &lt;br /&gt;Gail will download the FTP writer and communicate with Aubrey re website. &lt;br /&gt;Winston will create an Artist in Motion blog. &lt;br /&gt;2010 Calendar&lt;br /&gt;Sub committees will be set up to: &lt;br /&gt;·        enable long term planning &lt;br /&gt;·        prevent burn out of executive &lt;br /&gt;·        reduce the number of general meetings &lt;br /&gt;·        greater efficiency of time at general meetings &lt;br /&gt;Action: &lt;br /&gt;Gail will provide a more detailed explanation in the newsletter. &lt;br /&gt;meetings:  &lt;br /&gt;Action: &lt;br /&gt;John moved that we continue to meet once a month until the committees are set up and every two months thereafter. &lt;br /&gt;Jane seconded the motion and the motion carried &lt;br /&gt;Due to the fact that our present recording secretary works through the day, meetings will continue to take place in the evening. &lt;br /&gt;Action: &lt;br /&gt;When possible, general meetings will be held at the store. &lt;br /&gt;Events &lt;br /&gt;Action: &lt;br /&gt;The following people have agreed to chair subcommittees &lt;br /&gt;Eilean Tait                  Theatrical &lt;br /&gt;Shirley Wilson            Showcase of the Arts &lt;br /&gt;Christine Dominico            Celebrate Marmora (formerly Art in the Park) &lt;br /&gt;Winston Seeney            website and blog development &lt;br /&gt;Gail Taylor              nominating committee &lt;br /&gt;Jane McCoy                        constitution and rules of procedure &lt;br /&gt;Annual General Meeting and Election of Officers &lt;br /&gt;·        Jane will send out the proposed AIM constitution the first week in February to all members. &lt;br /&gt;·        Members will have until February 26th 4 p.m. to recommend changes. &lt;br /&gt;·        March 5th constitution meeting &lt;br /&gt;·        March 25th the final copy of the constitution will go out to all members. &lt;br /&gt;·        The constitution will be voted on at Annual General Meeting April 8th. &lt;br /&gt;Christine submitted her resignation as chair of Artists in Motion.  The resignation was received with deep regrets and Christine was complimented for her role in the organization of Artists in Motion.
